  (d)ItistheintentofManagerandLesseetomaintainthePremisesinconformancewiththeApplicableStandards.Accordingly,astheHotelsage,iftheCapitalImprovementBudgetpreparedingoodfaithbyManagerandapprovedbyLesseeandLandlordisinsufficientforpurposesofallowingthePremisestoconformwiththeApplicableStandards,Lessee,LandlordandManagerwillconsiderthematterandLesseeandLandlordmayelectto:

  (f)Exceptasotherwiseprovidedherein,innoeventshallManagerrealizeanykickbacks,rebates,cashincentives,administrationfees,concessions,profitparticipations,investmentrightsorsimilarpaymentsoreconomicconsiderationfromorin,asapplicable,vendorsorsuppliersofgoodsorservices.ManageragreesthatanysuchamountsorbenefitsderivedshallbeheldintrustforthebenefitofLesseeorLandlord(asapplicable).

  (c)SuchotherinsuranceinamountsasManagerinitsreasonablejudgmentdeemsadvisableforitsprotectionagainstclaims,liabilitiesandlossesarisingoutoforconnectedwithitsperformanceunderthisAgreement,andotherwiseconsistentwiththecostsallocatedthereforintheAnnualOperatingBudget.

  12.6PoliciesandEndorsements.

  ARTICLEXBUDGET,STANDARDSANDCONTRACTS

  12.7Termination.UponTerminationofthisAgreementwithrespecttooneormoreoftheHotels,anescrowfundinanamountreasonablyacceptabletoManagerandLesseeshallbeestablishedfromGrossRevenues(or,ifGrossRevenuesarenotsufficient,withfundsprovidedbyLessee)tocovertheamountofanycostswhich,inManager’sreasonablebusinessjudgment,willlikelyneedtobepaidbyManagerwithrespecttopendingorcontingentclaims,includingthosewhichariseafterTerminationforcausesarisingduringtheTermofthisAgreement.Uponthefinaldispositionofallsuchpendingorcontingentclaims,anyunexpendedfundsremaininginsuchescrowshallbepaidtoLessee.

  (d)Commercialgeneralliabilityinsurance,withamountsnotlessthan$1,000,000combinedsinglelimitforeachoccurrenceand$2,000,000.00fortheaggregateofalloccurrenceswithineachpolicyyear,aswellasexcessliability(umbrella)insurancewithlimitofatleast$35,000,000peroccurrence,coveringeachofthefollowing:bodilyinjury,death,orpropertydamageliabilityperoccurrence,personalandadvertisinginjury,generalaggregate,productsandcompletedoperations,and“allrisklegalliability”(includingliquorlawor“dramshop”liabilityifliquororalcoholicbeveragesareservedattheHotels);

  (a)Managershallprepareabudget(“CapitalImprovementBudget”)oftheexpendituresnecessaryforreplacementofFF&EandbuildingrepairsofthenaturecontemplatedbySection8.1duringtheensuingFiscalYearandshallprovidesuchCapitalImprovementBudgettoLesseeandLandlordforapprovalatthesametimeManagersubmitstheAnnualOperatingBudget.TheCapitalImprovementBudgetshallnotbedeemedacceptedbyLesseeandLandlordintheabsenceoftheirrespectiveexpresswrittenapproval.Notlaterthanthirty(30)daysafterreceiptbyLesseeandLandlordofaproposedCapitalImprovementBudget(orsuchlongerperiodasLesseeandLandlordmayreasonablyrequestonNoticetotheManager),Lesseeand/orLandlordmaydeliveraNotice(a“CIBObjectionNotice”)totheManagerstatingthatLesseeand/orLandlordobjectstoanyinformationcontainedinoromittedfromsuchproposedCapitalImprovementBudgetandsettingforththenatureofsuchobjectionswithreasonablespecificity.FailureofLesseeand/orLandlordtodeliveraCIBObjectionNoticeshallbedeemedrejectionoftheManager’sproposedCapitalImprovementBudgetinitsentirety.UponreceiptofanyCIBObjectionNotice,theManagershall,afterconsultationwithLesseeandLandlord,modifytheproposedCapitalImprovementBudget,takingintoaccountLessee’sand/orLandlord’sobjections,andshallresubmitthesametoLesseeandLandlordforLessee’sapprovalwithinfifteen(15)daysthereafter,andLesseeand/orLandlordmaydeliverfurtherCIBObjectionNotices(ifany)withinfifteen(15)daysthereafter(inwhichevent,there-submissionandreviewprocessdescribedaboveinthissentenceshallcontinueuntiltheproposedCapitalImprovementBudgetinquestionisacceptedandconsentedtobyLesseeandLandlord).Notwithstandinganythingtothecontrarysetforthherein,LesseeandLandlordshallhavetherightatanytimesubsequenttotheacceptanceandconsentwithrespecttoanyCapitalImprovementBudget,onNoticetotheManager,torevise,withthereasonableapprovalofManager,suchCapitalImprovementBudgetortorequestthattheManagerprepareforLessee’sand/orLandlord’sapprovalarevisedCapitalImprovementBudget,takingintoaccountsuchcircumstancesasLesseeandLandlorddeemappropriate;provided,however,thattherevisionofaCapitalImprovementBudgetshallnotbedeemedarevocationoftheManager’sauthoritywithrespecttosuchactionsastheManagermayhavealreadytakenpriortoreceiptofsuchrevisionnoticeinimplementingapreviouslyapprovedbudgetorplan.

  ARTICLEXIVBANKACCOUNTS

  12.1Insurance.ManagershallcoordinatewithLessee,atalltimesduringanyperiodofdevelopment,construction,renovation,furnishingandequippingofthePremises,theprocurementandmaintenanceinamountandscopeasavailableforthehotellodgingindustryforhotelsofsimilartypeandinsimilarmarketsandgeographicallocationsastheHotels,publicliabilityandindemnityandpropertyinsurancewithminimumlimitsofliabilityasrequiredbyLessee,theLandlords,anyHolder,orFranchisors,ifapplicable,andinaccordancewiththeAnnualOperatingBudgettoprotectLessee,Landlord,Manager,anyHolder,andanyFranchisor,ifapplicable,againstlossordamagearisinginconnectionwiththedevelopment,construction,renovation,furnishingandequippingofthePremises(andpre-openingactivities,ifapplicable),including,withoutlimitation,thefollowing:

  (c)Lossofincomeinsuranceonthe“SpecialForm”,intheamountofoneyearofthesumofBaseRentplusPercentageRent(assuchtermsaredefinedinandasdeterminedpursuanttotheLeases)forthebenefitofLandlords,andbusinessinterruptioninsuranceonthe“SpecialForm”intheamountofoneyearofGrossOperatingProfit,forthebenefitofLessee.AlllossofincomeinsuranceproceedsshallbepartofGrossRevenues;

  (b)Theincentivemanagementfee(the“IncentiveManagementFee”),ifany,willbedueannuallyinarrearswithin90daysoftheendofthefiscalyearandwillbeequaltotenpercent(10%)oftheamountbywhichtheGrossOperatingProfitoftheHotelsonanaggregatebasis,foragivenyearexceedstheGrossOperatingProfitforthesameHotels,onanaggregatebasis,fortheprioryear.TheIncentiveManagementFeemaynotexceed0.25%ofGrossRevenuesofalloftheHotelsincludedintheincentivefeecalculation.ThecalculationoftheIncentiveManagementFeewillnotincluderesultsofHotelsfortheFiscalYearinwhichtheyareinitiallyleasedbyLandlordtoLesseeorfortheFiscalYearinwhichsoldandnewlyacquiredorleasedHotelswillbeincludedinthecalculationbeginningwiththesecondfullFiscalYearsuchHotelismanagedpursuanttothisAgreement.

  10.2BudgetApproval.TheAnnualOperatingBudgetsubmittedtoLesseebyManagershallbesubjecttotheapprovalofLessee(suchapprovalnottobeunreasonablywithheld).TheAnnualOperatingBudgetshallnotbedeemedacceptedbyLesseeintheabsenceofitsexpresswrittenapproval.Notlaterthanthirty(30)daysafterreceiptbyLesseeofaproposedAnnualOperatingBudget(orsuchlongerperiodasLesseemayreasonablyrequestonNoticetoManager),LesseemaydeliveranAOBObjectionNoticewithreasonabledetailtotheManagerstatingthatLesseeobjectstoanyinformationcontainedinoromittedfromsuchproposedAnnualOperatingBudgetandsettingforththenatureofsuchobjectionswithreasonablespecificity.FailureofLesseetodeliverexpresswrittenapprovaloftheAnnualOperatingBudgetandanAOBObjectionNoticeshallbedeemedrejectionoftheManager’sproposedAnnualOperatingBudgetinitsentirety.UponreceiptofanyAOBObjectionNotice,theManagershall,afterconsultationwithLessee,modifytheproposedAnnualOperatingBudget,takingintoaccountLessee’sobjections,andshallresubmitthesametoLesseeforLessee’sapprovalwithinfifteen(15)daysthereafter,andLesseemaydeliverfurtherAOBObjectionNotices(ifany)withinfifteen(15)daysthereafter(inwhichevent,there-submissionandreviewprocessdescribedaboveinthissentenceshallcontinueuntiltheproposedAnnualOperatingBudgetinquestionisacceptedandconsentedtobyLessee).Notwithstandinganythingtothecontrarysetforthherein,LesseeshallhavetherightatanytimesubsequenttotheacceptanceandconsentwithrespecttoanyAnnualOperatingBudget,onNoticetotheManager,torevisesuchAnnualOperatingBudgetortorequestthattheManagerprepareforLessee’sapprovalarevisedAnnualOperatingBudget(withtheapprovalofManager,suchapprovalnottobeunreasonablywithheld),takingintoaccountsuchcircumstancesasLesseedeemsappropriate;provided,however,thattherevisionofanAnnualOperatingBudgetshallnotbedeemedarevocationoftheManager’sauthoritywithrespecttosuchactionsastheManagermayhavealreadytakenpriortoreceiptofsuchrevisionnoticeinimplementingapreviouslyapprovedbudgetorplan.LesseeandManageracknowledgeandagreethattheAnnualOperatingBudgetsaremerelyforecastsofoperatingrevenuesandexpensesforanensuingyearandshallberevised,byagreementofLesseeandManager,fromtimetotimeasbusinessandoperatingconditionsshalldemand.However,ManagershalluseitsreasonableeffortstooperatethePremisesinaccordancewiththeAnnualOperatingBudget.ThefailureofanyoftheHotelstoperforminaccordancewithsuchAnnualOperatingBudgetshallnotconstituteadefaultbyManagerofthisAgreement,however,theLesseehasarighttoterminatethisAgreementwithrespecttoaSubjectHotelifsuchSubjectHotelfailstosatisfythePerformanceTestassetforthinSection2.3(c)above.

  (b)CalculationsandpaymentsoftheBaseManagementFeeforeachHotelmadewithrespecttoeachAccountingPeriodshallbemadeonaninterimaccountingbasisandshallbeaccountedforcumulativelyforeachFiscalYear.AftertheendofeachFiscalYear,ManagershallsubmittoLesseeanaccountingforsuchFiscalYear,consistentwithSection15.3,whichaccountingshallbecontrollingovertheinterimaccountings.AnyadjustmentsrequiredbytheFiscalYearaccountingshallbemadepromptlybytheparties.

  (f)InsurancecoveringsuchotherhazardsandinsuchamountsasmaybecustomaryforcomparablepropertiesintheareaoftheHotelsandthatisavailablefrominsurancecompanies,insurancepoolsorotherappropriatecompaniesauthorizedtodobusinessinthestateswheretheHotelsarelocatedatrateswhichareeconomicallypracticableinrelationtotheriskscoveredasmaybereasonablyrequestedbyLesseeandotherwiseconsistentwiththecostsallocatedthereforintheAnnualOperatingBudget.

  11.1ManagementFee.AsconsiderationfortheservicestoberenderedbyManagerpursuanttothisAgreementasmanagerandoperatorofthePremises,ManagershallbepaidthefollowingBaseManagementFeeandIncentiveManagementFee(assuchtermsarehereinafterdefined),collectivelycalledthe“ManagementFee”,foreachoftheHotelsasfollows:

  9.7Non-Solicitation.DuringthetermofthisAgreementandforaperiodoftwo(2)yearsthereafter,unlessanEventofDefaultbyManagerexistsunderthisAgreementbeyondapplicablegraceorcureperiods,ortheAgreementhasbeenterminatedasaresultofanuncuredEventofDefaultbyManager,Lesseeagreesthatit(anditsAffiliates)willnot,withoutthepriorwrittenconsentofManager,eitherdirectlyorindirectly,aloneorinconjunctionwithanyotherpersonorentity,(i)solicitorattempttosolicitanygeneralmanager(eacha“GeneralManager”and,collectively,“GeneralManagers”)oftheHotelsoranyotherhotelsmanagedbyManageroranyofManager’sExecutiveEmployees(collectively,theGeneralManagerandExecutiveEmployeesarehereincalledthe“KeyEmployees”)toterminate,alterorlessenKeyEmployees’employmentoraffiliationwithManagerortoviolatethetermsofanyagreementorunderstandingbetweenanysuchKeyEmployeeandManager,asthecasemaybe,or(ii)employ,retain,orcontractwithanyKeyEmployee.

  15.3AnnualFinancialStatements.Withinforty-five(45)daysaftertheendofeachFiscalYear,ManagershallfurnishtoLesseeyear-endfinancialstatementsfortheHotels(includingabalancesheet,incomestatementandstatementofsourcesandusesoffunds)whichstatementsshallbeunauditedandshallbepreparedinaccordancewithGAAPandtheUniformSystemofAccounts(totheextentconsistentwithGAAP).Lesseewillengageanindependentcertifiedpublicaccountingfirmtoprovideauditedannualfinancialstatements.Managershallcooperateinallrespectswithsuchaccountantinthepreparationofsuchstatements,includingthedeliveryofanyfinancialinformationgeneratedbyManagerpursuanttothetermsofthisAgreementandreasonablyrequiredbytheLessee’saccountanttopreparesuchauditedfinancialstatements.

  10.3OperationPendingApproval.IftheAnnualOperatingBudget(oranycomponentthereof)hasnotyetbeenapprovedbyLesseepriortoanyapplicableFiscalYear,then,untilapprovalofsuchAnnualOperatingBudget(orsuchcomponent)byLessee,ManagershalloperatetheHotelssubstantiallyinaccordancewiththeprioryear’sAnnualOperatingBudgetexceptfor(a)thosecomponentsoftheAnnualOperatingBudgetfortheapplicableFiscalYearapprovedbyLessee,(b)theNecessaryExpenseswhichshallbepaidasrequired,(c)theEmergencyExpenseswhichshallbepaidasrequired,and(d)thoseexpensesthatvaryincorrelationwithGrossRevenuesand/oroccupancyintheaggregate.

  14.3ManagementofOperatingAccount.UntilotherwiseprescribedbyLesseeinwriting,theOperatingAccountshallbeunderthecontrolofManager,withoutprejudice,however,toManager’sobligationtoaccounttoLesseeasandwhenprovidedherein.Allreceiptsandincome,includingwithoutlimitation,GrossRevenuesshallbepromptlydepositedintheOperatingAccount.ChecksorotherdocumentsofwithdrawalshallbesignedonlybytheindividualrepresentativesofManagerapprovedinwritingbyLesseeanddulyrecognizedforsuchpurposebythebankorbanksinwhichthereferencedaccountsaremaintained.ManagershallsupplyLesseewithfidelitybondsorotherinsuranceinsuringthefidelityofauthorizedsignatoriestosuchaccounts,unlesssaidbondsorotherinsuranceshallhavebeenplacedbyLesseeanddelivereddirectlybythebondingorinsurancecompanytoLessee.ThecostofsuchfidelitybondsorotherinsuranceshallbeaDeduction,atLessee’sexpense,andsubjecttoLessee’sapproval.NeitherLesseenorManagershallberesponsibleforanylossesoccasionedbythefailureorinsolvencyofthebankorbanksinwhichthereferencedaccountsaremaintained.UponexpirationorterminationofthisAgreementandthepaymenttoManagerofallamountsdueManagerhereunderuponsuchexpirationortermination,asprovidedinthisAgreement,allremainingamountsinthereferencedaccountsshallbetransferredforthwithtoLessee,ormadefreelyavailabletoLessee.

  (e)AutomobileinsuranceonvehiclesoperatinginconjunctionwiththeHotelswithlimitsofliabilityofatleast$1,000,000.00combined,singlelimitcoverage;and

  IfthisAgreementshallcommenceorexpireonotherthanthefirstandlastdayofacalendarmonth,respectively,theBaseManagementFeeshallbeapportionedbasedontheactualnumberofdaysofserviceinthemonth.TheBaseManagementFeeforaFutureHotelfirstleasedtoLesseeotherthanonthefirstdayofaFiscalYearshallbedeterminedonthebasisoftherateapplicabletothe“Firstyearmanaged”forboththepartialFiscalYearinwhichtheHotelisfirstleasedtoLesseeandtothefirstfullFiscalYearsuchHotelismanagedbyManager.

  14.1OperatingAccount.AllfundsmadeavailabletoManagerbyLesseeforoperationofthePremises,exclusiveofthoseamountsdescribedinArticleVIII,shallbedepositedintoacheckingaccountoraccountstobeestablishedinthenameofLessee(the“OperatingAccount”),consistentwiththerequirementsofanyCashManagementAgreements,ifany.TheOperatingAccountshallbeinterestbearingwhenpossible.SubjecttothelimitationofManager’sauthoritysetforthherein,bothManagerandLesseeshallbeauthorizedtowithdrawfundsfromsaidOperatingAccount,exceptthatLesseemaywithdrawfundsfromsaidaccountonlyifanEventofDefaultbyManagerhasoccurredunderthisAgreementoraneventhasoccurredthatwiththepassageoftimemightbeanEventofDefaultbyManager.PriortoanysuchwithdrawalbyLessee,LesseeshallprovideNoticeofsametoManager,andManagershallnotbeliabletoLesseeforanycheckswrittenbyManagerforoperatingexpenseswhicharereturnedduetoinsufficientfundscausedbysuchLesseewithdrawal.FromtimetotimebothManagerandLesseeshalldesignatesignatorypartiesonsuchaccountandshallprovidewrittennoticeofsuchdesignationorchangeindesignationtotheotherparty,andthesignaturesofsuchpersonsshallbeformallyandexpresslyrecognizedbythebankinwhichsuchaccountoraccountsaremaintained.ThebankorbankstobeutilizedshallbeselectedandapprovedbyLesseeandManager.Allmoniesreceivedshallbedepositedin,including,butnotlimitedto,GrossRevenues,andexpensespaid,including,butnotlimitedto,Deductions,shallbepaidfromsuchbankcheckingaccount(s)exceptthatManagershallhavetherighttomaintainpayrollandpettycashfundsandtomakepaymentstherefromasthesamearecustomaryandutilizedinthelodgingbusiness.SuchfundsshallnotbecommingledwithManager’sfunds.Lesseeshallhavetheright,asaDeductiontotherespectiveHotel,toauditsaidaccountoraccountsatanyreasonabletime.

  EMPLOYEES

  12.1.1ExtendedCoverage,Boiler,BusinessInterruptionandLiabilityInsurance.

  9.6EmployeeUseofHotel.Manager,initsdiscretion,may(i)providelodgingforManager’sExecutiveEmployeesandcorporatestaffvisitingtheHotelsinconnectionwiththeperformanceofManager’sserviceshereunderandallowthemtheuseofthefacilitiesoftheHotels,and(ii)providethemanagementoftheHotelswithtemporarylivingquarterswithintheHotelsandtheuseofallfacilitiesoftheHotels,ineithercaseatadiscountedpriceorwithoutcharge,asthecasemaybe.Managershall,onaspaceavailablebasis,providelodgingattheHotelsforLessee’semployees,officersanddirectorsvisitingtheHotelsandallowthemtheuseofallfacilitiesoftheHotelsineithercasewithoutcharge,exceptforrecreationalfacilitiesforwhichachargewillapply.

  ARTICLEXIIITAXESANDDEBTSERVICE

  (a)Managershallsubmitmonthly,pursuanttoSection15.2,aninterimaccountingtoLesseeshowingGrossRevenues,Deductions,GrossOperatingProfitandNetOperatingIncomebeforeDebtService.

  (ii)obtainfinancingfortheadditionalfundsrequired.

  8.1RoutineandNon-RoutineRepairsandMaintenance.Manager,attheexpenseofLessee,shallmaintainthePremisesingoodrepairandconditionasisrequiredbytheApplicableStandards.Manager,onbehalfofLessee,shallmakeorcausetobemadesuchroutinemaintenance,repairsandminoralterationsasManagerfromtimetotimedeemsreasonablynecessaryforsuchpurposes,thecostofwhich:(i)canbeexpensedunderGAAP,(ii)shallbepaidfromGrossRevenues,andtreatedasaDeduction,and(iii)isconsistentwiththeAnnualOperatingBudget.Inaddition,Lesseeshallmakeorcausetobemadesuchnon-routinerepairsandmaintenance,eithertothePremises’buildingoritsfixtures,furniture,furnishingsandequipment(“FF&E”),pursuanttotheCapitalImprovementBudgetapprovedbyLesseeandLandlord,thecostofwhichshallbepaidforbyLandlord.ManagerandLesseeshallusetheirrespectivebesteffortstopreventanyliensfrombeingfiledagainstthePremiseswhicharisefromanymaintenance,changes,repairs,alterations,improvements,renewalsorreplacementsinortothePremises.LesseeandManagershallcooperatefullyinobtainingthereleaseofanysuchliens.Ifthelienarisesasaresultofthefaultofeitherparty,thenthepartyatfaultshallbearthecostofobtainingthelienrelease.Allchanges,repairs,alterations,improvements,renewalsorreplacementsmadepursuanttothisArticleVIIIshallbethepropertyoftheLessee.

  (i)providetheadditionalfundsrequired;or

  (b)Insuranceforlossordamage(directandindirect)fromsteamboilers,pressurevesselsorsimilarapparatus,noworhereafterinstalledintheHotels,intheminimumamountof$5,000,000orinsuchgreateramountsasarethencustomaryorasmaybereasonablyrequestedbyLesseefromtimetotime;

  (b)Managershall,inaccordancewithandsubjecttotheCapitalImprovementBudgetdescribedinSection8.2(a),fromtimetotimemakesuchsubstitutionsandreplacementsoforrenewalstoFF&Eandnon-routinerepairsandmaintenanceasdescribedinSection8.1asitdeemsnecessarytomaintaintheHotelsasrequiredbythisAgreement.Exceptashereinafterprovided,noexpenditureswillbemadeexceptasotherwiseprovidedintheCapitalImprovementBudgetwithouttheapprovalofLesseeandLandlord,andprovidedfurther,however,thatifanysuchexpenditureswhicharerequiredbyreasonofany(i)emergency,or(ii)applicableLegalRequirements,or(iii)thetermsoftheFranchiseAgreement,or(iv)areotherwiserequiredforthecontinuedsafeandorderlyoperationoftheHotels,ManagershallimmediatelygiveLesseeandLandlordnoticethereofandshallbeauthorizedtotakeappropriateremedialactionwithoutsuchapprovalwheneverthereisaclearandpresentdangertolife,limborpropertyoftheHotelsoritsguestsoremployees.Thecostofallsuchchanges,repairs,alterations,improvements,renewals,orreplacementswillbepaidforbyLandlord.

  9.5Termination.AtTermination,subjecttoSection2.1above,LesseeshallreimburseManagerforcostsandexpensesincurredbyManagerwhichariseoutofeitherthetransferorterminationofManager’semployeesattheHotels,suchasreasonabletransfercosts,compensationinlieuofvacationandsickleave,severancepay(includingareasonableallowanceforseverancepayforExecutiveEmployeesoftheHotels,theamountofsuchallowancenottoexceedanamountequaltoManager’sthencurrentseverancebenefitsforsuchterminatedExecutiveEmployees,unlessLesseeotherwiseapproves),unemploymentcompensation,employerliabilitypursuanttotheConsolidatedOmnibusBudgetReconciliationAct(Cobraliability)andtheWorkerAdjustmentandRetrainingNotificationAct(WarnAct)andotheremploymentliabilitycostsarisingoutoftheterminationoftheemploymentoftheManager’semployeesatthePremises(hereincollectivelycalled“EmployeeRelatedTerminationCosts”).ThisreimbursementobligationshallnotapplytoanycorporatepersonnelofManagerassignedtotheHotelsforspecialprojectsorwhoperformfunctionsforManageratthecorporatelevel.Inordertobereimbursablehereunder,anyEmployeeRelatedTerminationCostsmustbepursuanttopoliciesofManagerwhichshallbeconsistentwiththoseofothermanagersmanagingsimilarhotelsinsimilarmarketsandgeographicallocationsandwhichshallbesubjecttoreviewandreasonableapprovalofLesseefromtimetotimeuponNoticefromLesseeandwhichreviewandapprovalshalloccurnomorethanonetimeduringeachFiscalYearduringthetermofthisAgreement.

  (c)Allchanges,repairs,alterations,improvements,renewalsorreplacementsmadepursuanttothisArticleVIIIshallbethepropertyofLandlord.

  15.2MonthlyFinancialStatements.Withintwenty-five(25)daysfollowingeachAccountingPeriod,ManagershallfurnishLesseewithrespecttoeachoftheHotelsanaccrualbasisbalancesheetonManager’sstandardformatinreasonabledetail,togetherwithareasonablydetailedaccrualbasisprofitandlossstatementforthecalendarmonthnextprecedingandwithacumulativecalendaryearaccrualbasisprofitandlossstatementtodate,includingacomparisontotheAnnualOperatingBudgetandtheCapitalImprovementsBudgetandastatementofcashflowsforeachmonthlyandcumulativeperiodforwhichaprofitandlossstatementisprepared.Further,fromtimetotimeasreasonablyrequestedbyLessee,Managershallprovideastatementofbankaccountbalances,anallocationtoreserveaccounts,asourcesandusesstatement,anarrativediscussinganyoftheaforementionedreportsandmaterialvariancesfromtheAnnualOperatingBudgetandtheCapitalImprovementsBudget,suchotherreportsandfinancialstatementsasLesseemayreasonablyrequestandasarecustomarilyprovidedbymanagersofsimilarhotelpropertiesintheareaoftheHotelswithoutManagerreceivingadditionalfeestoprovidesame.

  ARTICLEXVACCOUNTINGSYSTEM

  12.1.2OperationalInsurance.

  10.1AnnualOperatingBudget.Notlessthanforty-five(45)dayspriortothebeginningofeachFiscalYear,ManagershallsubmittoLesseeforeachoftheHotels,abudget(the“AnnualOperatingBudget”)settingforthindetailanestimatedprofitandlossstatementforthenexttwelve(12)AccountingPeriods,orforthebalanceoftheFiscalYearintheeventofapartialfirstFiscalYear,includingascheduleofhotelroomrentalsandotherrentalsandamarketingandbusinessplanforeachoftheHotels,suchbudgettobesubstantiallyintheformatofExhibit“D”attachedhereto.

  8.2CapitalImprovementBudget.

  11.2AccountingandInterimPayment.

  12.2ReplacementCost.Theterm“FullReplacementCost”asusedhereinshallmeantheactualreplacementcostoftheHotelsrequiringreplacementfromtimetotimeincludinganincreasedcostofconstructionendorsement,ifavailable,andthecostofdebrisremoval.IntheeventeitherpartytothisAgreementbelievesthatfullreplacementcost(thethen-replacementcostlesssuchexclusions)hasincreasedordecreasedatanytimeduringtheTerm,itshallhavetherighttohavesuchfullreplacementcostre-determined.

  14.4AdvanceofFunds.Managershallnotberequiredtoadvancefunds,andManagershallnotbeobligatedtoincuranyliabilityorobligationforLessee’saccount,withoutassurancethatnecessaryfundsforthedischargethereofwillbeprovidedbyLessee.

  ARTICLEIX

  (a)Wherepermitted,allinsuranceprovidedforunderthisArticleXIIshallnameLesseeasinsured,andManager,anyHolder,theLandlords,and,ifrequired,theFranchisors,asadditionalinsureds.Thepartyprocuringsuchinsuranceshalldelivertotheotherpartycertificatesofinsurancewithrespecttoallpoliciessoprocured,includingexisting,additionalandrenewalpoliciesand,intheeventofinsuranceabouttoexpire,shalldelivercertificatesofinsurancewithrespecttotherenewalpoliciesnotlessthanten(10)dayspriortotherespectivedatesofexpiration.

  9.2Costs,BenefitPlans.Managershallfixtheemployees’termsofcompensationandestablishandmaintainallpoliciesrelatingtoemployment,solongastheyarereasonableandinaccordancewiththeApplicableStandardsandtheAnnualOperatingBudget.Withoutlimitingtheforegoing,Managermay,consistentwiththeapplicablebudgets,enrolltheemployeesoftheHotelsinpension,medicalandhealth,lifeinsurance,andsimilaremployeebenefitplans(“BenefitPlans”)substantiallysimilartoplansreasonablynecessarytoattractandretainemployeesandgenerallyremaincompetitive.TheBenefitPlansmaybejointplansforthebenefitofemployeesatmorethanonehotelowned,leasedormanagedbyManagerorManagerAffiliateEntities.Employercontributionstosuchplans(includinganywithdrawalliabilityincurreduponTerminationofthisAgreement)andreasonableadministrativefees(butwithoutfurthermarkupbyManager),whichManagermayexpendinconnectiontherewith,shallbetheresponsibilityofLesseeandshallbeaDeduction.TheadministrativeexpensesofanyjointplanswillbeequitablyapportionedbyManageramongpropertiescoveredbysuchplan.

  Managershallbepaidaprojectmanagementfee(herein,the“ProjectManagementFee”)equaltofivepercent(5%)ofthetotalprojectcostsassociatedwiththeimplementationoftheCapitalImprovementBudget(bothhardandsoft)payablemonthlyinarrearsbaseduponthepriorcalendarmonth’stotalexpendituresundertheCapitalImprovementBudgetuntilsuchtimethattheCapitalImprovementBudgetand/orrenovationprojectinvolvestheexpenditureofanamountinexcessoffivepercent(5%)ofGrossRevenuesoftheapplicableHotel,whereupontheProjectManagementFeeshallbereducedtothreePercent(3%)ofthetotalprojectcostsinexcessofthefivepercent5%ofGrossRevenuethreshold.TheProjectManagementFeeshallbeaccountedforanddocumentedandconsistentwiththerequirementsofSection11.2herein.AnyonsiteordedicatedpersonnelrequiredforthedirectsupervisionoftheimplementationofaCapitalImprovementBudgetorotherrenovationprojectwillbeadirectcostto,andshallbereimbursedby,theLandlord.

  13.2DebtService,GroundLeasePayments.IntheeventofaHotelMortgageand/orGroundLeaseandupondirectionofLessee,Managershallestablishanaccount(the“PropertyServiceAccount”)topayDebtServiceand/orGroundLeasePaymentsinsuchperiodicpaymentsasrequiredbyanyapplicableHolderunderanyapplicableHotelMortgageand/orlandlordunderanyGroundLease.ThePropertyServiceAccountshallbefundedbyLandlordundertheLeasefromfundspaidbyLandlordtoLessee.IntheeventsufficientfundsareunavailableforthepaymentofDebtServiceand/orGroundLeasePaymentsfromthePropertyServiceAccount,thenManagershallnotifyLesseeinwritingofsuchinsufficiencywhoshallinturnadvisetheLandlordundertheapplicableLeasetoreplenishthePropertyServiceAccounttoprovidefundsforpaymentofDebtServiceand/orGroundLeasePayments.

  10.4BudgetMeetings.AteachbudgetmeetingandatanyadditionalmeetingsduringaFiscalYearreasonablycalledbyLesseeorManager,ManagershallconsultwithLesseeonmattersofpolicyconcerningmanagement,sales,roomrates,wagescales,personnel,generaloveralloperatingprocedures,economicsandoperationandothermattersaffectingtheoperationoftheHotels.

  (b)AllpoliciesofinsuranceprovidedforunderthisArticleXIIshall,totheextentobtainable,bewithinsurancecompanieslicensedorauthorizedtodobusinessinthestateinwhichthePremisesarelocated,withaminimumratingofAorbetterintheBest’sInsuranceGuideandanS&PratingofatleastA+V(orsuchhigherratingifsorequiredbyanyHolder,LandlordorFranchisor),andshallhaveattachedtheretoanendorsementthatsuchpolicyshallnotbecancelledormateriallychangedwithoutatleastthirty(30)days’priorwrittennoticetoLessee.AllinsurancepoliciesobtainedpursuanttothisArticleXIIshallcontainastandardwaiverofsubrogationendorsement.

  (g)AnyadditionalfeespayabletoManagershallbesubmittedforapprovalbyamajorityoftheIndependentDirectorsofMHI.IntheeventthatthemajorityoftheIndependentDirectorsofMHIaffirmativelyvotesthattheMarketServiceFeesproposedbyManagerarenotmarket,theLesseeandManageragreetoengageaconsultantreasonablysatisfactorytobothLesseeandManagertoprovidethencurrentmarketinformationwithrespecttotheproposedMarketServiceFeesandawrittenrecommendationastowhethersuchfeesaremarketornot.Iftheconsultant’srecommendationprovidesthatsuchMarketServiceFeesasproposedbyManageraremarket,thentheLandlordagreestopayanyconsultantfeesincurredbysuchconsultantinmakingtherecommendation.Iftheconsultant’srecommendationdoesnotsupporttheMarketServiceFeesasproposedbyManager,thenManageragreestopaytheconsultant’sfeesincurredinconnectionwiththeRecommendationandagreestoeitherre-submitManager’sproposedMarketServiceFeestotheIndependentDirectorsofMHIconsistentwiththemarketresearchandrecommendationoftheconsultantforapprovaltoLesseeandLandlord,orelectbyNoticetoLesseeandLandlordthatManagerwillnotprovidetheProjectRelatedService.

  (e)InconsiderationoftheProjectManagementFee(asdefinedbelow),Managershallberesponsibleformanaging,coordinating,planningandexecutingtheCapitalImprovementBudgetandallmajorrepositioningsoftheHotels.

  14.2PayrollAccount.ManagermayestablishoneormoreseparatebankaccountsforhandlingpayrollcostsinthenameofLessee.SuchaccountsshallbeinabankselectedbyLessee,andshallbehandledexclusivelybytheindividualsdesignatedbyManagerandapprovedinwritingbyLessee.FundsshallbedepositedinthepayrollaccountoraccountsfromtheOperatingAccount,asneeded,inordertomeetpayrollrequirements.

  12.3IncreaseinLimits.IfeitherpartytothisAgreementatanytimedeemsthelimitsofthepersonalinjuryorpropertydamageunderthecomprehensivecommercialgeneralliabilityinsurancethencarriedtobeeitherexcessiveorinsufficient,suchpartiesshallendeavoringoodfaithtoagreeontheproperandreasonablelimitsforsuchinsurancetobecarriedandsuchinsuranceshallthereafterbecarriedwiththelimitsthusagreedonuntilfurtherchangepursuanttotheprovisionsofthisSection.

ARTICLEVIIIMAINTENANCE,REPLACEMENTANDCHANGES

  (c)TheIncentiveFeefortheHotelsshallbecalculatedandearnedonanannualbasisforeachFiscalYear.IfLesseeraisesnoobjectionforanyreason(excludingfraud)withinone(1)yearfromthereceiptofannualaccountingstatementsasprovidedherein(orforfraudwithinanyapplicablestatuteoflimitationsperiod,andifnostatuteoflimitationsperiodexists,theninnoeventtoexceedfour(4)yearsfromreceiptofannualaccountingstatementsasprovidedherein),suchaccountingshallbedeemedtohavebeenacceptedbyLesseeastrueandcorrect,andLesseeshallhavenofurtherrighttoquestionitsaccuracy.ManagerwillprovideLesseeprofitandlossstatementsforthecurrentperiodandyear-to-date,includingactual,budgetandlastyearcomparisons,asrequiredbySection15.3.

  (a)BaseManagementFee.Thebasemanagementfee(“BaseManagementFee”)foreachoftheInitialHotelsandanyfutureHotelsshallbeequaltoapercentageoftheGrossRevenuesattributedtoeachsuchHotelasdeterminedonapropertybypropertybasispursuanttothefollowingtables,andshallbeduemonthly:

  9.3Manager’sEmployees.ItisexpresslyunderstoodandagreedthatallsuchpersonnelemployedattheHotels,includingtheManager’sactingGeneralManagersforeachoftheHotels,willbetheemployeesofManagerforallpurposesincluding,withoutlimitation,federal,stateandlocaltaxandreportingpurposes,buttheexpenseincurredinconnectiontherewithwillbeaDeductionandforLessee’saccount.AGeneralManager’scompensationandthecompensationofotheremployeesmaybeallocatedtootherHotelsonafairandequitablebasisifsuchemployeesprovideserviceswithrespecttotheoperationsofsuchotherHotels.ManagershallusesuchcarewhenhiringanyemployeesasmaybecommontothehospitalitybusinessandconsistentwiththeManager’sstandardsofoperation.LesseeacknowledgesandagreesthatManager,astheemployerofalloftheHotels’employees,shallbeentitledtoallfederal,stateand/orlocaltaxcreditsorbenefitsallowedtoemployersrelatingtotheHotels’employeesincluding,withoutlimitation,theWorkOpportunityTaxCredit,theTargetedJobsTaxCredit,andsimilartaxcredits(providedthatManagershallpayallincrementalfees,ifapplicable,toqualifyforsuchtaxcredits).Manager,inaccordancewiththeAnnualOperatingBudget,maydrawdownfromGrossRevenuesallcostsandexpenses,ofwhatevernature,incurredinconnectionwithsuchemployees,including,butnotlimitedto,wages,salaries,on-sitestaff,bonuses,commissions,fringebenefits,employeebenefits,recruitmentcosts,workmen’scompensationandunemploymentinsurancepremiums,payrolltaxes,vacationandsickleave(collectively,“EmployeeCostsandExpenses”).

  14.5ReserveAccounts.AllreserveaccountsestablishedpursuanttothisAgreementshallbeplacedinsegregatedinterest-bearingaccountsinthenameofLesseewhichinterestshallbeaddedtosuchreserveandservetoreducetheamountrequiredtobeplacedinsuchreserveaccount.

  12.5CostsandExpenses.ThecostofmaintaininginsuranceandcostsrelatedtheretoshallbetheresponsibilityoftheLessee.Insurancepremiumsandanycostsorexpenseswithrespecttotheinsurance,including,withoutlimitation,agent’sandconsultant’scostsusedtoplaceinsuranceoradjustclaims,shallbeDeductions.Premiumsonpoliciesformorethanoneyearshallbechargedpro-rataagainstGrossRevenuesovertheperiodofthepoliciesandtotheextent,throughblanketpolicies,suchpremiumscoverotherhotelsmanagedbyManagerorownedbyLesseeoranyofitsAffiliates,theyshallbeallocatedbasedonrooms,numberofemployees,valuesorothermethodsasdeterminedtobereasonablebyManagerandLessee.Anyreserves,losses,costs,damagesorexpenseswhichareuninsured,self-insured,orfallwithindeductiblelimitsshallbetreatedasacostofinsuranceandshallbeDeductions,subjecttoArticleXXV.

  (a)Buildinginsuranceonthe“SpecialForm”(formerly“AllRisk”form)(includingearthquakeandfloodinreasonableamountsasdeterminedbyLessee)inanamountnotlessthan100%ofthethen“FullReplacementCost”thereof(asdefinedbelow)orsuchotheramountwhichisacceptabletoLessee,andpersonalpropertyinsuranceonthe“SpecialForm”inthefullamountofthereplacementcostthereof;

  AtTermination,anescrowfundshallbeestablishedfromGrossRevenues(or,ifGrossRevenuesarenotsufficient,withfundsprovidedbyLessee)toreimburseManagerforallreimbursableEmployeeRelatedTerminationCosts.

  9.4SpecialProjects–CorporateEmployees.Thecosts,fees,compensationandotherexpensesofanypersonsengagedbyManagertoperformdutiesofaspecialnature,directlyrelatedtotheoperationofthePremises,including,butnotlimitedto,in-houseoroutsidecounsel,accountants,bookkeepers,auditors,employmentsearchfirms,marketingandsalesfirms,andsimilarfirmsofpersonnel,shallbeoperatingexpenses,payablefromandconsistentwiththeAnnualOperatingBudgetandnottheresponsibilityoftheManager.Thecosts,fees,compensationandotherexpensesofthosepersonnelofManagerassignedtospecialprojectsfortheHotelsshallalsobeoperatingexpensespayablebytheLesseeandnottheresponsibilityofManager.ThedailyperdiemrateforthosepersonnelshallbebasedupontheactualcostsofManagerinprovidingitspersonnelforsuchspecialservicesorprojects,withoutmark-upforfeeorprofitbutincludingsalaryandemployeebenefitcostsandcostsofequipmentusedinperformingsuchservices,overheadcosts,travelcostsandlongdistancetelephone.Suchspecialservicesshallinclude,butnotbelimitedto,thosematterswhicharenotincludedwithinthescopeofthedutiestobeperformedbyManagerhereunderand,ifnotprovidedbyLessee,wouldinvolvetheLessee’sengagementofathirdpartytoperformsuchservices;forexample,specialsalesormarketingprograms,marketreviews,assistanceinopeningnewfoodandbeveragefacilities,legalservices,accountingservices,taxservices,insuranceservices,dataprocessing,engineeringpersonnel,andsimilarservices.

  12.4BlanketPolicy.NotwithstandinganythingtothecontrarycontainedinthisArticleXII,Managermayincludetheinsurancerequiredhereunderwithinthecoverageofaso-calledblanketpolicyorpoliciesofinsurancecarriedandmaintainedbyManager;provided,however,thatthecoverageaffordedtothepartiesasrequiredhereinwillnotbereducedordiminishedorotherwisebedifferentfromthatwhichwouldexistunderaseparatepolicymeetingallotherrequirementsofthisAgreementbyreasonoftheuseofsuchblanketpolicyofinsurance,andprovidedfurtherthattherequirementsofthisArticleXIIareotherwisesatisfied.

  13.1Taxes.Allrealestateandadvalorempropertytaxes,assessmentsandsimilarchargesonorrelatingtothePremisesduringtheTermofthisAgreementshallbepaidbyLesseeorLandlord.

  9.1EmployeeHiring.Manager,subjecttotheapprovaloftheLessee,willhire,train,promote,supervise,directtheworkofanddischargeallpersonnelworkingonthePremises.Managershallbethesolejudgeofthefitnessandqualificationofsuchpersonnelandisvestedwithabsolutediscretioninthehiring,discharging,supervision,anddirectionofsuchpersonnelduringthecourseoftheiremploymentandintheoperationofthePremises.Suchapprovalshallnotbeunreasonablywithheld.

  (a)Workers’compensationandemployer’sliabilityinsuranceasmayberequiredunderLegalRequirementsandasManagermaydeemreasonablyprudentcoveringallofManager’semployeesatthePremises,withsuchdeductiblelimitsorself-insuredretentionsasmaybereasonablyestablishedfromtimetotimebyManager;

  15.1BooksandRecords.ManagershallmaintainanadequateandseparateaccountingsysteminconnectionwithitsmanagementandoperationofthePremises.ThebooksandrecordsshallbekeptinaccordancewithGAAPandtheUniformSystemofAccounts(totheextentconsistentwithGAAP)andshallbemaintainedatalltimeseitheronthePremises,attheprincipalofficeoftheManager,orinstorage,foratleastthree(3)yearsaftertheFiscalYeartowhichthebooksandrecordsrelate.Lessee,thebeneficialownersofLessee,theLandlords(totheextentpermittedundertheLeases),anyHolder(totheextentpermittedundertheHotelMortgage),anyFranchisor(totheextentpermittedunderanyapplicableFranchiseAgreement),ortheirrespectiveemployeesordulyauthorizedagents,shallhavetherightandprivilegeofexaminingandinspectingthebooksandrecordsatanyreasonabletime.UponterminationofthisAgreement,allsuchbooksandrecordsshallbeturnedovertoLesseesoastoinsuretheorderlycontinuanceoftheoperationoftheHotels;providedhowever,thatallsuchbooksandrecordsthereaftershallbeavailabletoManagerattheHotelsatallreasonabletimesforinspection,audit,examinationandcopyingforaperiodofthree(3)years.

  ARTICLEXIOPERATINGDISTRIBUTIONS

  (b)Fidelitybonds,ordishonestemployeeinsurancewithlimitsanddeductiblesasmaybereasonablyrequestedbyLessee,coveringManager’semployeesinjobclassificationsnormallybondedunderprudenthotelmanagementpracticesintheUnitedStatesorotherwiserequiredbylaw;and
