(h)IftheunloadingofanLNGTankerisnotcompletedwithintheperiodofthirty(30)hoursaftertheearlierof(i)theLNGTankerbeingallfastintheberth,(ii)six(6)hoursafterthetenderingoftheNoticeofReadiness(providedtheLNGTankertendersNoticeofReadinesswithintheapplicableArrivalPeriod)or(iii)06:00hoursonthefirstDayoftheapplicableArrivalPeriod(providedtheLNGTankertendersNoticeofReadinesspriortosuchdate)andsuchdelayisthefaultoftheSeller,andasaresultanotherLNGtanker(whichwouldhavebeenunloadedifthisdelayhadnotoccurred)ispreventedfromordelayedinunloading,thenSellershallreimbursetoBuyerthedocumentedcostsreasonablyincurredbyBuyerasadirectresultofsuchdelayincludingdemurragepayableinrespectofsuchLNGtankerprovidedthatSellershallnotberequiredtoreimbursetoBuyeranyamountsbasedonademurragerateinexcessoftheDemurrageratesetoutintherelevantConfirmationMemorandum

1.9DeterminationofQuantityandQuality 数目和质量确实定

(iv)fourth,forty-eight(48)hourspriortothemostrecentlynotifiedETAwhichnoticeshallalsoincludethefollowinginformation;

 (j)EachrelevantPartyshalltestandverifytheaccuracyoftheapplicablegaugingdevicesatintervalstobeagreedbetweentheParties.InthecaseofgaugingdevicesontheLNGTanker(s),suchtestsandverificationsshalltakeplaceduringscheduleddry-dockingperiods.EachpartyatitsownriskshallhavetherighttoinspectatanytimethegaugingdevicesinstalledbytheotherParty,providedthattheotherPartyshallbenotifiedreasonablyinadvance.TestingshallbeperformedusingmethodsrecommendedbythemanufactureroranyothermethodagreeduponbyBuyerandSeller.TestsshallbewitnessedandverifiedbytheIndependentSurveyororindependentsurveyors.EitherPartyshallhavetherighttohaverepresentativespresenttowitnessmeasurements,samplingandtestingofdevicesandLNG.

 

(b)AllowedLaytimeattheUnloadingPortshallbetheperiodsetoutintheConfirmationMemorandum.

(b)InadditiontotheDepartureNotice,SellerorthemasteroftheLNGTankershallsendtoBuyerthefollowingwrittennoticesconfirmingorupdatingtheETAofanLNGTanker(withrespecttoanychangeintheETAequaltoorgreaterthansix(6)hours),andsuchotherinformationassetforthbeloworassuchotherPartymayreasonablyrequire:

(f)VolumesofLNGdeliveredattheDeliveryPointunderthisAgreementshallbedeterminedbygaugingtheLNGinthetanksoftheLNGTanker(s)immediatelybeforeandafterunloading,GaugingtheliquidinthetanksoftheLNGTanker(s)andthemeasuringofliquidtemperature,vapourtemperatureandvapourpressureineachLNGtankandthetrimandlistoftheLNGTanker(s)andatmosphericpressureshallbeperformed,bySellerbeforeandafterunloading.CopiesofgaugingandmeasurementrecordsshallbefurnishedtoBuyer,andintheabsenceofmanifesterror,shallbeconclusive.Gaugingdevicesshallbeselected,andmeasurementsshallbeeffected,inaccordancewiththeproceduressetforthintheTerminalRulesor,intheabsenceofsuchprocedures,withtheproceduressetforthinParagraphs3and4ofScheduleD.

(ii)theETAoftheLNGTanker;and 液化自然气船的估计抵达工夫;

 (e)SellershallfurnishtoBuyerorcauseBuyertobefurnishedwith,acertifiedcopyoftankgaugetablesasdescribedScheduleDforeachtankoftheLNGTanker.

 

 

 

 

(i)suchLNGTankermaybemodifiedpursuanttoachangeinInternationalStandardsorinorderforsuchLNGTankertoretainitsclassificationorcomplywithitsregistrationrequirements,orpursuanttoanychangeinLawwithwhichsuchLNGTankerisrequiredtocomply,inwhichcasesuchmodificationnecessaryforsuchLNGTankershallbepaidforbytheSeller(unlesstheapplicablechangeinLawwasachangeintheLawofthecountryinwhichtheUnloadingPortislocatedandsuchchangemandatedstandardsbeyondthoserecommendedbyInternationalStandards,inwhichcasetheBuyershallpayforsuchmodificationstotheLNGTanker).SellershallnotifyBuyerassoonaspossibleofanysuchmodificationunderthisParagraph1.2(b)(i)thatwillaffectthecompatibilityoftheLNGTankerwithBuyer'sUnloadingFacilities;

(g)SellershallinvoiceBuyerpursuanttoSection8.4foramountsdueunderParagraphs1.8(c)and(f)ofScheduleBandshallprovidetherelevantdocumentsandcalculationsinsupportofsuchamount,andBuyershallpaysuchinvoiceinaccordancewiththetermsofArticleVIII.

(k)PermissibletolerancesshallbeassetforthintheTerminalRulesor,intheabsenceofsuchtolerances,assetforthinParagraphs2and3ofScheduleD.Wheretheinaccuracyofadeviceisfoundtoexceedthepermissibletolerances,thedevice,ifpossible,shallbeadjustedaccordinglyandrecordingsandcomputationsmadeonthebasisofthoserecordingsshallbecorrectedwithrespecttoanyperiodoferrorthatisdefinitelyknownoragreedbytheParties.AlltheinvoicesissuedduringsuchperiodoferrorshallbeamendedaccordinglytoreflectsuchcorrectionandanadjustmentinpaymentshallbemadebetweenSellerandBuyer.Intheeventthattheperiodoferrorisneitherknownnoragreed,correctionsshallbemadeforeachdeliverymadeduringthelasthalfoftheperiodsincethedateofthemostrecentcalibrationoftheinaccuratedevice.However,theprovisionsofthisParagraph1.9(k)shallnotbeappliedtorequirethemodificationofanydisputedinvoicethathasbeenfinallyresolvedpursuanttoSection8.8.

(b)Buyer’sUnloadingFacilitiesshallnotbemodifiedinanymannerwhatsoeverthatwouldrenderthemincompatiblewithanyLNGTankerthathasbeenacceptedbyBuyerfordeliveriestoBuyer’sUnloadingFacilities;provided,however,that:

(b)SubjecttotheapplicablerulesofanyGovernmentalAuthorityandthosesetforthintheMarineTerminalManualanddecisionstakenbypilotswithrespecttotheberthingofLNGtankers,indeterminingtheberthingsequence,uponreceiptofSeller'sNOR,theBuyershallprovideSellerwithnoticetoproceedtoberth,subjecttothefollowingassignedberthingpriority:

属卖方、卖方承运人、液化自然气船或其船主、海员、船东或运营者差错的缘由;

(iii)Buyer’sUnloadingFacilitiesmaybemodifiedbyBuyer,atBuyer’ssoleexpense,inrespectofanychangenotdescribedinParagraph1.3(b)(i),provided,however,thatBuyershall

(c)PriortoexecutionofanyConfirmationMemorandum,whensorequestedorrequired,BuyershallprovideSellerwithacopyoftheMarineTerminalManualandacopyoftheMarineTerminalLiabilityAgreementthenineffect.SellershalleithercomplywithsuchMarineTerminalManual,orshallobtainawaiverofsuchfromtheBuyer(suchwaivermaybeobtainedbeforeorafterexecutionoftheapplicableConfirmationMemorandum).Ifrequired,SellershallprocurethattheTransporterentersintotheMarineTerminalLiabilityAgreementandBuyershallprocurethattheOperatorentersintotheMarineTerminalLiabilityAgreementpriortotheberthingoftheLNG

(ix)operatedinaccordancewithaplanthatisconsistentwiththeShip/ShoreSafetyChecklistfordischargingLNGandwhichhasbeenagreedinwritingbetweenthePartiesbeforethecommencementofdeliveryoperations.

1.4ObligationsofBuyerandSellerattheUnloadingPort 买方和卖方在卸货港的任务

(c)SellermayproposetoBuyertouseasubstituteLNGTanker(“SubstituteLNGTanker”)ofsimilarcargocapacitytotheLNGTankerbeingsubstituted.Seller'suseofsuchSubstituteLNGTankershallnotbepermittedunless(i)theSubstituteLNGTankeriscompatiblewiththeBuyer'sfacilities;and(ii)BuyerhasapprovedtheSubstituteLNGTanker,suchapprovalnottobeunreasonablywithheld(aspartofsuchapprovalprocess,BuyershallhavetherighttoinspecttheTanker;suchinspectionshallbeperformedinatimelymanner).UponnoticeofapprovalbyBuyer,suchapprovedSubstituteLNGTankershallbecometheLNGTankerassociatedwiththerelevant

(c)NotwithstandingtheforegoingprovisionsofthisParagraph1.7BuyerorOperatormayrefusetoallowtheLNGTankertoproceedtoberthif,actingasaReasonableandPrudentOperator,itdeterminesthattheberthingoftheLNGTankerwouldaffectthesafeoperationsoftheBuyer'sUnloadingFacilities.

 

(e)If,aftertheLNGTankerisallfastatberthattheBuyer’sUnloadingFacility,theLNGTankerisshiftedawayfromtheassignedberthforBuyer'spurpose,Buyershallbearandpayforanyadditionalcostsandexpensesrelatingtosuchshifting.IftheLNGTankerisshiftedawayfromtheassignedberthforSeller'spurpose,Sellershallbearandpayforallcostsandexpenserelatedtosuchshifting.IftheLNGTankerisshiftedawayfromtheassignedberthduetoAdverseWeather

(a)UponarrivaloftheLNGTankeratthePBSoranagreedlocationofftheUnloadingPort,themasteroftheLNGTankeroritsagentshallgivenoticetotheBuyeroritsagentthatsuchLNGTankerisreadytoberth(“NoticeofReadiness”or“NOR”).ANORmaybetenderedandshallbeacceptedbyBuyeroritsrepresentativeonanyDayoftheweekandanyhouroftheDay.TheNORshallbecomeeffective:

(ii)anymodificationofanLNGTankerrequired,inconsequenceofanymodificationofBuyer’sUnloadingFacilitiescontemplatedinParagraph1.3(b)(i)ofthisScheduleB,tomaintaincompatibilitywithBuyer’sUnloadingFacilities,shallbepaidforbySeller(unlesstheapplicablechangeinLawwasachangeintheLawofBuyer’sCountryandsuchchangemandatedstandardsbeyondthoserecommendedbyInternationalStandards,inwhichcaseBuyershallPayforsuchmodificationstotheLNGTanker);and

(iii)avaporlinesystemofsufficientcapacitytotransfertoanLNGTankerquantitiesofregasifiedLNG,necessaryforthesafeunloadingofLNGatsuchrates,pressuresandtemperaturesasmayberequiredbysuchLNGTanker’sdesignand/orgoodoperatingpractice;

SellerorthemasteroftheLNGTankershallinformBuyerassoonaspracticableofanymaterialchangeinanyoftheforegoing.

 

与液化自然气船停止电子邮件、传真、德律风和无线电相同所必须的得当零碎;

1.3UnloadingPort 卸货港

依据与适航性、设计、平安、环保、飞行和别的作业事变有关的国际规范和船舶注销国相干执法以及运输液化自然气和在买方卸货设备卸载液化自然气所需的当局部分对液化自然气船发放的一切答应和同意作业;

 

卸载一艘液化自然气船所用的装卸工夫(以下简称为“所用装卸工夫”)该当自(i)该液化自然气船在泊位泊牢、(ii)发送装卸预备停当告诉后六(6)个小时(假如该液化自然气船在相干抵达工夫内发送装卸预备停当告诉)或许(iii)相干抵达工夫首日的06:00(假如该液化自然气船在该日期之前发作装卸预备停当告诉)三者孰早者开端算起,该当在最初一根卸载臂与液化自然气船断开时完毕。

(f)IfanLNGTankerisdelayedinthecommencementofunloading(forreasonsattributabletoBuyer)andifasaresultthereofthecommencementofunloadingisdelayedbeyondtwenty-four(24)hoursaftertheearlierof(i)theLNGTankerbeingallfastintheberth,(ii)six(6)hoursafterthetenderingoftheNoticeofReadiness(providedtheLNGTankertendersNoticeofReadinesswithintheapplicableArrivalPeriod)or(iii)06:00hoursonthefirstDayoftheapplicableArrival

 

(ii)unloadingfacilitiescapableofreceivingLNGataratethatshallpermitthefulldischargeofanLNGCargofromafullyloadedLNGTankerwithinatarateof10,000cubicmetersperhour;

(iii)suchLNGTankermaybemodifiedbySeller,atSeller’ssoleexpense,inrespectofanyotherchange;provided,however,thatSellershallreimburseBuyerforallreasonablecostsandexpensesincurredbyBuyerinmodifyinganyBuyer'sUnloadingFacilities,asrequired,tomaintaincompatibilitywiththeLNGTankerassomodified.

(d)BuyerwarrantsthatBuyer'sUnloadingFacilitiesmeetallapplicablerequirementsandregulations,whichareinforceattheapplicableConfirmDateforthereceptionofeachLNGTankerandtheunloadingofLNGundertheapplicableConfirmationMemorandumandhasaportfacilitysecurityplanapprovedundertheInternationalShipandPortSecurityCode.

(c)EachdeviceprovidedforinthisParagraph1.9ofScheduleBshallbeofadesignthathasbeenproveninserviceinanexistingLNGtrade,unlessotherwiseagreedbythePartiesasprovidedbelow.AnydevicesprovidedforinthisParagraph1.8ofScheduleBnotpreviouslyusedinanexistingLNGtradeshallbechosenbyagreementofthePartiesandshallbesuchasare,atthetimeofselection,themostaccurateandreliableintheirpracticalapplication.TherequireddegreeofaccuracyofsuchdevicesshallbeagreeduponandverifiedbytheIndependentSurveyororindependentsurveyors.AllsuchdevicesshallbesubjecttoapprovalbyclassificationsocietiesorbytheappropriateGovernmentalAuthorityofthecountryinwhichtheUnloadingPortislocatedand/orthecountryinwhichtheLoadingPortislocated,asapplicable.

(iv)facilitiesallowingaccesstotheLNGTanker(s)fromtheterminal(butnotwarehousingfacilities)adequateforhandlinganddeliverytotheLNGTanker(s)ofTanker’sstores,provisionsandspareparts,togetherwithnecessaryassistanceandsupportforsuchhandlinganddelivery,andasuitablegangwayforpersonnelaccess;

(b)SellershallberththeLNGTankerorcauseittobeberthedassafelyandexpeditiouslyasreasonablypossibleinaccordancewithallrequirementsprescribedbytheMarineTerminalManualandincooperationwithOperator.BuyershallcooperatetocommenceunloadingorcauseittobecommenceduponcompletionofberthingandcompleteunloadingorcauseittobecompletedsafelyandasexpeditiouslyasreasonablypossibleandinaccordancewithallrequirementsprescribedbytheMarineTerminalManual.

 (d)ThePartiesshallco-operatecloselyinthedesign,selectionandacquisitionofdevicestobeusedformeasurementsandtestsunderthisParagraph1.9ofScheduleBsothat,asfaraspossible,measurementsandtestsmaybeconductedineitherUnitedStatesunitsofmeasurementormetricunitsofmeasurement.Intheeventthatitbecomesnecessarytomakemeasurementsandtestsusingdifferentsystemsorunitsofmeasurement,thePartiesshallestablishmutuallyagreedconversiontables.MeasurementdevicesshallbecalibratedintheUnitedStatesormetricunitssetoutinthetablebelow.

(vi)constructedandmaintainedinaccordancewiththerulesandregulationsof,andmaintainedinclasswith,amemberoftheInternationalAssociationofClassificationSocietiesthathaspriorexperienceinclassifyingLNGTankers,andincompliancewithapplicableLaws;

1.2LNGTankers 液化自然气船

 

(i)Allmeasurements,gaugingandanalysesprovidedforinParagraphs1.9(f)to(h)ofScheduleBaboveshallbewitnessedandverifiedbytheIndependentSurveyororindependentsurveyors.Priortoeffectingsuchmeasurements,gaugingandanalyses,thePartyresponsibleforsuchoperationsshallnotifytherepresentativesoftheotherPartyandtheIndependentSurveyororindependentsurveyors,allowingsuchrepresentativeandtheIndependentSurveyororindependentsurveyorsareasonableopportunitytobepresentforalloperationsandcomputations;provided,however,thattheabsenceofeitherorbothoftherepresentativeoftheotherPartyortheIndependentSurveyororindependentsurveyorsafternotificationandreasonableopportunitytoattendshallnotpreventanyoperationorcomputationfrombeingperformed.TheresultsoftheverificationsbytheIndependentSurveyororindependentsurveyorsshallbemadeavailablepromptlytoeachParty.AllrecordsofmeasurementsandthecomputationresultsshallbepreservedbythePartyresponsibleforeffectingsuchmeasurementsandheldavailabletotheotherrelevantPartyforaperiodofnotlessthanone(1)yearaftersuchmeasurementsandcomputationshavebeencompleted,oriflongeruntilanydisputebetweenthePartiesrelatinginanywaytosuchmeasurementsandcomputationshasbeenfinallyresolved(byagreementorarbitrationorotherwise).

(a)Assoonasreasonablypracticablebutnolaterthantwenty-four(24)hoursaftertheLNGTanker’sdeparturefromitslastportbeforetheUnloadingPort,SellerormasterofLNGTankershallgivenoticetoBuyerofthefollowing(the“DepartureNotice”):

(viii)mannedwithskilledandcompetentoperators,officersandcrewwho(i)aresuitablyqualified,trainedandexperiencedininternationalLNGoroiltankeroperationsandqualifiedtoaminimumofInternationalMaritimeOrganizationstandards,(ii)areabletocommunicatewithregulatoryauthoritiesandoperatorsattheBuyer'sUnloadingFacilitiesinwrittenandspokenEnglish,and(iii)havesubscribedtoapolicyprecludingtheuseofdrugsoralcoholaboardanLNGTanker;and

(c)SellershallcausetheLNGTankertodepartassafelyandexpeditiouslyasreasonablypossiblefromtheberthaftercompletionofloadinginaccordancewithallrequirementsprescribedbytheMarineTerminalManualandincooperationwithOperator.

(n)TotheextentofanydiscrepanciesbetweenthemeasurementsandtestresultsdeterminedbythePartiesandtheIndependentSurveyororindependentsurveyors,thedeterminationoftheIndependentSurveyororindependentsurveyorsshallprevail.IfthePartieshaveeachappointedanindependentsurveyorunderParagraph1.9(m)ofScheduleBandtheindependentsurveyorsdonotjointlyagreeonadetermination,eitherPartymaynotifytheotherofsuchdisagreementandthePartiesshallrefersuchDisputetoanExpertpursuanttoArticleXIII.

(i)ThePartiesagreethatanyclaimforDemurragebySellerwhicharisesunderthisMasterAgreementwillbeconsideredtimebarredifSellerfailstoprovideBuyerafullydocumentedinvoicewithinonehundredandeighty(180)BusinessDaysafterthecompletionofunloadingof

(b)UnlessexpresslystatedotherwiseintheapplicableConfirmationMemorandum,theLNGTanker(s)specifiedintheapplicableConfirmationMemorandumshallbedeemed(i)tohavebeenapprovedbyBuyerandSellerand(ii)tobecompatiblewithBuyer'sUnloadingFacilitiesandSeller'sFacilities.IfBuyerhasreservedtherightintheapplicableConfirmationMemorandumtoinspectandapprovesuchLNGTanker(s)specifiedintheapplicableConfirmationMemorandum,

 

(a)Sellershall,atitsexpense,provide,maintainandoperateorcausetobeprovided,maintainedandoperatedingoodworkingorder,facilitiesforNaturalGastreatment,processingandliquefactionandstorageandloadingofLNGandLNGTankerberthing,andallancillaryfacilities,ofappropriatedesignandsufficientcapacitytoenablethesafeandreliableperformancebySellerofitsobligationsunderthisAgreement.Sellershallberesponsible,atitsexpense,forthetransportationfromtheLoadingPorttotheUnloadingPortofallLNGCargoessoldandmadeavailableunderthisAgreement.SellershallmaintainsufficientLNGshippingcapacitytoenableSellertofulfillitsobligationstomakeLNGavailabletoBuyerinaccordancewiththisAgreement.

(i)berthingfacilitiesthatcomplywithInternationalStandardsthatarecapableofreceivingtheLNGTanker,andatwhichsuchLNGTankercansafelyreachandsafelydepart,fullyladen,andatwhichsuchLNGTankercanliesafelyberthedanddischargesafelyafloatatalltimes;

 (i)ofamaximumandminimumgrossvolumetriccapacityassetforthintheConfirmationMemorandum;

(b)OnceanLNGTankerhasbeenacceptedbyBuyerforthetransportationofLNG,suchLNGTankershallnotcontinuetodeliverLNGunderthisAgreementifsuchLNGTankerismodifiedinanymannerwhatsoeverthatwouldrenderitnotinconformitywiththespecificationssetforthinthisAgreement;provided,however,that:

(iii)suchotherinformationastheotherPartymayreasonablyrequire.

reimburseSellerforallreasonablecostsandexpensesincurredbySellerinmodifyinganLNGTankertomaintaincompatibilitywithBuyer’sUnloadingFacilitiesassomodified.

(l)AllcostsandexpensesfortestingandverifyingmeasurementdevicesshallbebornebythePartywhoistestingorverifyingthedevicesbeingtestedandverifiedunlessthetestingisconductedattherequestoftheotherPartyandsuchtestingdoesnotdiscloseerrorsorinaccuracieswhichrequirecorrectioninsuchmeasurementdevices,inwhichevent,thePartyrequestingsuchtestingorverificationshallbearsuchcosts;provided,however,thatrepresentativesofthePartiesattendingsuchtestsandverificationsshalldosoatthecostandriskofthePartytheyrepresent.
